ALPHADRAFTS – TERMS OF SERVICE

These Terms of Service govern access to and use of AlphaDrafts (the "Service") provided by Visionary Insights LLC. By creating an account, accessing, or using the Service, you agree to these Terms.

1. What AlphaDrafts Does

AlphaDrafts is an AI‑assisted research and writing tool for academic workflows. The Service uses third‑party AI model providers (currently OpenAI) to generate, transform, and analyze text. AlphaDrafts does not replace human judgment, peer review, or your institution's academic integrity requirements.

2. Your Account

2.1 Eligibility

You must be at least 13 years old (16 in the EEA/UK) to use the Service. If you are under the age of majority where you live, you may only use the Service with a parent/guardian or under an institution agreement that provides appropriate consent.

2.2 Registration; Security

Provide accurate information and keep it updated. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account.

2.3 Organization Accounts

Admins may manage users, settings, and integrations. If your account was assigned to you by your school or employer, they may control it.

3. Subscriptions, Fees, and Taxes

3.1 Plans

Some features are free; paid features require a subscription. We may change plan features and pricing with notice as required by law.

3.2 Billing

You authorize us (and our payment processors) to charge all fees due. Unless stated otherwise, subscriptions renew automatically for the same term until canceled.

3.3 Refunds

Except where required by law, fees are nonrefundable once the billing period begins.

3.4 Taxes

Fees exclude taxes. You are responsible for all applicable taxes and government charges.

4. Acceptable Use

You agree not to (and not to allow others to):

  • use the Service to violate law, infringe IP, or breach academic or professional codes;
  • misrepresent AI‑generated content as your own original research where prohibited, or bypass proctoring/assessment rules;
  • submit or generate content that is illegal, harmful, exploitative, or that violates third‑party rights (including privacy and publicity rights);
  • attempt to extract underlying models, data, or source code; interfere with or overload the Service; or bypass rate limits or security;
  • use the Service for high‑risk purposes (e.g., medical, legal, financial, or safety‑critical decisions) without appropriate human review by qualified professionals;
  • violate our providers' usage rules (including OpenAI policies) and any additional guidelines we publish.

5. Content and IP

5.1 Your Content

"Customer Content" means prompts, uploads, instructions, documents, and other material you or your users submit, and the outputs generated for you. As between you and Visionary Insights, you retain ownership of Customer Content, including outputs, to the extent permitted by law.

5.2 License to Us

You grant us and our subprocessors a worldwide, non‑exclusive license to host, process, transmit, display, and otherwise use Customer Content solely to provide and support the Service (including to detect, prevent, and investigate abuse or security incidents), and as otherwise permitted in the Privacy Policy and any data processing addendum.

5.3 Third‑Party Providers & Pass‑Through Terms

The Service integrates third‑party AI providers (currently OpenAI) to process prompts and generate outputs. Your use must comply with the provider's terms and usage policies. We may change provider or add new ones.

5.4 No Training by Default

We do not use Customer Content to train our own models without your explicit opt-in. Our AI providers may process Customer Content as our processors under their enterprise/API terms; by default, they do not use Customer Content to train their models (see Privacy Policy for details).

5.5 Feedback

You grant us a non‑exclusive, worldwide, royalty‑free, irrevocable license to use suggestions to improve the Service.

6. Academic Integrity & Honor Code

You must follow your institution's policies and applicable codes (plagiarism, authorship, exam rules, citation/attribution). You are solely responsible for verifying accuracy, originality, and proper citation of any output and for securing necessary permissions for third‑party content.

7. Third‑Party Services

You may enable third-party integrations (e.g., reference managers, cloud storage). Their terms and privacy policies govern your use of those services. We are not responsible for third-party services' actions or data practices.

8. Privacy; Data Security

Our Privacy Policy explains how we collect and use personal data and the choices available to you. We implement appropriate technical and organizational measures to protect personal data. No system is 100% secure.

9. Beta Features

We may release features labeled alpha/beta/preview. They are provided "as is," may be disabled at any time, and may be subject to additional terms.

10. Disclaimers

The Service and all content are provided "AS IS" and "AS AVAILABLE." We make no warranties (express, implied, or statutory) including merchantability, fitness for a particular purpose, non‑infringement, accuracy, or that results will be error‑free or uninterrupted. Outputs may be incomplete, inaccurate, or reflect bias. You must review outputs before relying on them.

11. Limitation of Liability

To the maximum extent permitted by law, Visionary Insights and its affiliates, suppliers, and licensors will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenues, goodwill, data, or business interruption. Our aggregate liability for all claims relating to the Service will not exceed the greater of (a) the amount you paid to us in the 12 months before the claim arose, or (b) USD $100. These limits apply even if a remedy fails its essential purpose.

12. Indemnity

You will defend and indemnify Visionary Insights from and against third-party claims and liabilities arising from (a) your Customer Content; (b) your breach of these Terms or applicable law; or (c) your use of the Service in violation of providers' usage policies.

13. Suspension & Termination

We may suspend or terminate access if you breach these Terms, create risk for us or others, or if required by law or by our providers. You may stop using the Service at any time. We will make reasonable efforts to provide notice where legally permitted.

14. Governing Law; Disputes

These Terms are governed by the laws of the jurisdiction of incorporation of Visionary Insights LLC (U.S.) and applicable international laws.

15. Changes

We may update these Terms. We will post the updated Terms and change the "Last updated" date. Material changes will be notified in‑app/email. Continued use after changes means you accept the new Terms.
